Terms of Service

By creating an account, accessing, or using SecureOTP's platform, APIs, or related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree to these Terms, do not use the Service.

SecureOTP provides a cloud-based one-time password (OTP) delivery platform that enables businesses to send authentication codes to end users via SMS and WhatsApp. The Service includes our API, developer SDKs, management console, delivery analytics, and related documentation. Features, pricing tiers, and availability may change over time in accordance with Section 13.

Eligibility

You must be at least 18 years of age and capable of forming a binding contract to register for an account. The Service is intended for business use; you may not use it for purely personal, family, or household purposes.

Accurate Information

You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. SecureOTP reserves the right to suspend accounts with false or misleading information.

Account Security

You are responsible for maintaining the confidentiality of your API keys and console credentials. You must notify us immediately at [email protected] if you suspect unauthorised access. SecureOTP is not liable for losses resulting from your failure to secure your credentials.

One Account per Entity

Each legal entity may maintain one primary account. Sub-accounts for team members may be created within the console under your primary account.

Permitted Use

You may use the Service solely to deliver legitimate OTP and authentication messages to end users who have consented to receive them, in connection with your lawful business operations.

Prohibited Activities

You must not use the Service to: (a) send unsolicited commercial messages or spam; (b) send messages to individuals who have not provided valid consent; (c) impersonate any person or entity; (d) transmit content that is illegal, defamatory, threatening, or obscene; (e) engage in SIM-swapping, fraud, or phishing; (f) exceed rate limits or circumvent technical controls; (g) resell or sublicense the Service without our written consent; or (h) use the Service in any way that violates applicable law, including telecommunications regulations and anti-spam legislation in your jurisdiction.

Consent and Compliance

You are solely responsible for obtaining and documenting valid prior consent from your end users before sending them messages via our Service. You must comply with all applicable laws governing electronic communications, including the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, GDPR, and equivalent regulations.

Rate Limits

Your account is subject to rate limits specified in your plan. Exceeding these limits may result in request throttling. Persistent abuse of rate limits may result in account suspension.

Fair Use

You agree to use the API in a manner that does not adversely affect the performance or availability of the Service for other customers. Automated abuse detection is in place; accounts triggering anomalous patterns may be reviewed.

API Changes

We will endeavour to maintain backwards compatibility within a major API version. Where breaking changes are necessary, we will provide at least 90 days' notice via email and the developer changelog before deprecating an endpoint.

Pay-As-You-Go Pricing

Fees are calculated based on actual successful message deliveries at the per-message rate applicable to your plan and destination country. Current pricing is published at secureotp.io/pricing and is incorporated by reference.

Billing Cycle

Usage is billed monthly in arrears. Invoices are generated on the first business day of each month for the preceding month's usage and are due within 14 days of issue.

Payment Methods

We accept major credit cards and bank transfer (for accounts with monthly spend exceeding $500). You authorise us to charge your nominated payment method for all amounts due. Failed payments may result in service suspension after a 7-day grace period.

Taxes

All fees are exclusive of applicable taxes. You are responsible for paying any sales tax, VAT, GST, or equivalent taxes applicable in your jurisdiction.

Disputes

Billing disputes must be raised within 30 days of the invoice date by contacting [email protected]. Undisputed amounts remain due on the original payment date.

Our IP

SecureOTP retains all right, title, and interest in the Service, including all software, algorithms, trademarks, documentation, and related intellectual property. These Terms do not transfer any ownership to you.

Licence to Use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes.

Your Content

You retain ownership of all data you submit to the Service. You grant us a limited licence to process that data solely to provide the Service. We do not claim any ownership over your content.

Feedback

If you provide suggestions or feedback about the Service, we may use that feedback without restriction or compensation to you.

Each party may have access to confidential information of the other. Each party agrees to: (a) keep confidential information secret using at least the same degree of care it uses for its own confidential information (but no less than reasonable care); (b) use confidential information only to exercise rights or perform obligations under these Terms; and (c) not disclose confidential information to any third party without prior written consent, except to employees or contractors who need to know it and are bound by equivalent obligations.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SECUREOTP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS. MESSAGE DELIVERY IS SUBJECT TO CARRIER AND NETWORK CONDITIONS BEYOND OUR CONTROL.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SECUREOTP BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY ARISING FROM OR RELATED TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $100.

You agree to indemnify, defend, and hold harmless SecureOTP and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Service in violation of these Terms; (b) your violation of any applicable law or regulation; (c) your infringement of any third-party rights; or (d) complaints from your end users related to messages you sent using the Service.

By You

You may close your account at any time via the console settings page. Closure takes effect at the end of the current billing period. You remain responsible for all fees incurred up to the date of closure.

By SecureOTP

We may suspend or terminate your account immediately if you: breach these Terms; pose a risk to the Service or other customers; fail to pay amounts due; or are required to do so by law. For non-urgent breaches, we will provide 14 days' notice and an opportunity to remedy the breach before termination.

Effect of Termination

On termination, your right to use the Service ceases immediately. Provisions that by their nature should survive (including payment obligations, intellectual property, disclaimers, and limitation of liability) will survive termination.

We may modify these Terms from time to time. Material changes will be communicated by email to your registered address at least 14 days before they take effect. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance. If you do not agree to the revised Terms, you must stop using the Service and close your account before the effective date.

These Terms are governed by the laws of Singapore, without regard to its conflict-of-law provisions. Any dispute arising from these Terms or the Service shall first be subject to good-faith negotiation. If not resolved within 30 days, disputes shall be submitted to the exclusive jurisdiction of the courts of Singapore. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

Entire Agreement

These Terms, together with our Privacy Policy and any applicable Order Forms, constitute the entire agreement between you and SecureOTP and supersede all prior agreements relating to the subject matter.

Severability

If any provision of these Terms is found unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

Waiver

Failure by either party to enforce any right under these Terms does not constitute a waiver of future enforcement of that right.

Assignment

You may not assign these Terms or your account without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.
